These Terms and Conditions ("Terms") govern your access to and use of https://vorpp.com (the "Site") and all content, materials, accounts and services made available on or through it (together, the "Services").

The Services are operated by Vorpp FZCO, a company registered in Dubai, United Arab Emirates ("Vorpp", "we", "us" or "our"). Vorpp FZCO trades under the name Vorpp Capital.

By accessing or using the Services you agree to these Terms. If you do not agree to them, please do not use the Services.

1. What Vorpp is, and what it is not

Vorpp Capital publishes market commentary, research and educational material. We trade our own capital and we write about how we do it.

We are not a licensed or regulated financial advisor, broker, asset manager or investment firm. We are not authorised by the Securities and Commodities Authority, the Dubai Financial Services Authority, or any equivalent regulator in any other jurisdiction, and we do not hold ourselves out as being so authorised.

Accordingly:

  1. We do not provide personal investment advice, financial advice, tax advice or legal advice.
  2. We do not manage, hold, receive, invest or trade money or assets belonging to any other person. All trading and investment activity described on the Site is conducted with the personal and internal capital of the company and its owner.
  3. We do not offer, solicit or recommend the purchase or sale of any security, derivative, currency, commodity, digital asset or other financial instrument.
  4. Nothing on the Site constitutes an offer, inducement or invitation to engage in any investment activity.

The word "Capital" in our trading name refers to our own capital and to our own wealth-building activity. It does not indicate that we manage capital for others.

2. The content is general, and it is not about you

All content on the Services is general in nature. It is published to a broad audience, it is not tailored to any individual, and it takes no account of your objectives, financial position, experience, risk tolerance or needs.

You should not treat anything on the Services as a substitute for professional advice. Before acting, or deciding not to act, on the basis of anything you read here, you should obtain independent advice from a suitably qualified and, where required, licensed professional.

Any decision you make is your decision alone, and you make it at your own risk.

3. Risk

Trading and investing carry a high degree of risk. You can lose some or all of the money you commit, and in leveraged products you can lose more than your initial outlay. Past performance, whether ours or anyone else's, is not a reliable indicator of future results. Never trade with money you cannot afford to lose.

4. Accounts and membership

Parts of the Services require a free account.

  1. You must give accurate information when you register, and keep it current.
  2. An account is personal to you. You may not share your login, and you may not give others access to member material through your account.
  3. You are responsible for keeping your password confidential and for everything done under your account. Tell us at info@vorpp.com as soon as you become aware of any unauthorised use.
  4. You may not choose a username that belongs to another person, infringes anyone's rights, or is offensive.
  5. You may close your account at any time by contacting us.
  6. We may suspend or close an account that breaches these Terms, that is used to copy or redistribute our material, or that we reasonably believe is being used fraudulently or unlawfully.

Membership is currently provided free of charge. No payment is required and no payment details are collected. If we introduce paid products or services in future, we will publish separate terms covering price, billing, renewal and cancellation before any charge can arise, and no existing free account will be converted to a paid one without your express agreement.

5. Age

The Services are intended for adults. They are not directed at children and you may not use them, or register an account, unless you are at least 18 years old. By using the Services you confirm that you are 18 or over.

6. Intellectual property

All content on the Services — articles, text, video, audio, images, graphics, course material, the TradeOS system and templates, the Vorpp and Vorpp Capital names and logos, and the design and code of the Site — is owned by Vorpp FZCO or licensed to it, and is protected by copyright, trade mark and other intellectual property laws.

You may read, view and download our material for your own personal, non-commercial use. You may share links to our public pages freely, and you may quote short extracts with clear attribution and a link back.

You may not, without our prior written permission: copy, republish, redistribute, sell, sublicense or commercially exploit our material; remove or alter any credit or proprietary notice; use our material to train, fine-tune or build a competing product or service; or systematically download or scrape our content.

Nothing in these Terms transfers any intellectual property right to you.

7. Content you submit

Where the Services allow you to submit content — a comment, a question, an application, a message — you remain the owner of it, and you are responsible for it.

By submitting content you confirm that it is yours to submit and that it does not infringe anyone's rights, and you grant us a non-exclusive, royalty-free, worldwide licence to store, display and use it for the purpose of operating and promoting the Services.

You must not submit anything unlawful, misleading, abusive, defamatory, obscene, discriminatory, or that infringes another person's rights. You must not use the Services to advertise, recruit, spam, solicit contact details, or promote anything unrelated to Vorpp without our written permission.

We may remove any content, at our discretion, and we may withdraw access to the Services from anyone who abuses them.

8. Acceptable use

You agree not to: interfere with or disrupt the Services or the infrastructure they run on; attempt to gain unauthorised access to any part of the Services, any account, or any connected system; introduce malicious code; circumvent any access control or security measure; or use automated means to access the Services in a way that places an unreasonable load on them.

9. Availability and accuracy

We aim to keep the Services available and the content accurate and current, but we give no guarantee that they will be.

The Services are provided on an "as is" and "as available" basis. We do not warrant that they will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the Services or the servers that provide them are free of harmful components.

Markets move, data is revised and circumstances change. Content is accurate to the best of our knowledge at the time of publication and we are under no obligation to update it. We may change, suspend or withdraw any part of the Services at any time.

The Services contain links to, and rely on, websites and services operated by others — including our hosting, email, video and account providers, and any site we link to in an article.

We do not control those services and we are not responsible for their content, their availability or their handling of your information. Links are not endorsements. Where you use a third-party service, that provider's own terms and privacy policy apply, and we encourage you to read them.

11. Limitation of liability

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.

Subject to that, and to the fullest extent permitted by law:

  1. We are not liable for any trading or investment loss, lost profit, lost opportunity, or any indirect, incidental, special, consequential or punitive loss of any kind, however it arises and whether or not we were advised of the possibility of it.
  2. We are not liable for any decision you take or do not take on the basis of anything published on the Services.
  3. We are not liable for loss or damage arising from your inability to access the Services, from any interruption, or from any error, omission or inaccuracy in their content.
  4. Our total aggregate liability to you in connection with the Services will not exceed one hundred United States dollars (USD 100), or the amount you have paid us in the twelve months preceding the claim, whichever is greater.

12. Indemnity

You agree to indemnify and hold harmless Vorpp FZCO, its owner, officers, employees and contractors against any claim, loss, liability, cost or expense (including reasonable legal fees) arising out of your use of the Services, your breach of these Terms, any content you submit, or your infringement of any right of another person.

13. Changes to these Terms

We may amend these Terms from time to time. The current version is always published on this page with the date it last changed. Where a change is material we will take reasonable steps to bring it to the attention of registered members.

Continuing to use the Services after a change takes effect means you accept the amended Terms. If you do not accept them, please stop using the Services and close your account.

14. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or the Services, are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates.

The courts of Dubai, United Arab Emirates have exclusive jurisdiction to settle any such dispute or claim.

Where the mandatory consumer protection law of your country of residence gives you rights that cannot be excluded by agreement, nothing in this clause affects those rights.

15. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force.

Our failure to enforce any provision is not a waiver of it.

You may not assign or transfer your rights under these Terms. We may assign ours to a successor to our business.

These Terms, together with our Privacy Policy, Cookies Policy and Risk Disclaimer, form the entire agreement between you and us in relation to the Services.
